Terms of Service

1. Acceptance of the Terms

By creating an account, accessing or using AgroBridge's services, you agree to be legally bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations.

If you do not agree with any part of these terms, you must not use our services.

2. Description of the Services

AgroBridge provides an agricultural trading platform that includes:

• Marketplace: connecting producers with international buyers
• Traceability: a record of each lot's origin and its events
• Certification management: verifying and tracking certificates
• Export documentation: generating and managing trade documents

3. Registration and Accounts

3.1 Requirements

To use AgroBridge you must:

• Be over 18 years of age
• Provide accurate and complete information
• Keep your credentials secure
• Notify us immediately of any unauthorised use

3.2 Verification

We reserve the right to verify the identity of users and companies, including validating commercial documents, agricultural certifications and export licences.

4. Your Obligations

In using AgroBridge, you undertake to:

• Comply with all applicable international trade laws
• Give truthful information about products and certifications
• Not take part in fraudulent or deceptive activity
• Maintain the quality and food safety of the products
• Respect the agreed delivery times
• Not interfere with the operation of the platform

5. Payments

5.1 Payments

AgroBridge does not process payments yet. Today the platform is for listing products, requesting and negotiating quotes, and recording the traceability of lots; payment is agreed and made by the parties outside the platform, by whatever means they choose.

When we do turn on payments inside the platform, we will update these terms before doing so, with the fees and the release conditions set out in writing.

6. Traceability

AgroBridge's traceability is stored on our own servers. We do not use any blockchain, we do not handle cryptocurrency, and you do not need a digital wallet to use the platform.

Each lot carries a verification code that we calculate from its identifier. It is there so a lot can be quoted briefly; it is not a cryptographic proof and it is not anchored on any public network.

7. Intellectual Property

All AgroBridge content, including software, designs, trademarks and documentation, is the property of AgroBridge or its licensors.

You are granted a limited, non-exclusive and revocable licence to use the platform in accordance with these terms.

8. Privacy and Data

The handling of your personal data is governed by our Privacy Policy, which complies with the LFPDPPP — Mexico's federal law on the protection of personal data held by private parties — and with the European Union's GDPR.

9. Limitation of Liability

To the fullest extent permitted by law, AgroBridge will not be liable for:

• Indirect, incidental or consequential damages
• Loss of data, revenue or profit
• The quality of products sold by third parties on the platform
• Users failing to meet their obligations to one another

Our total liability will not exceed the amount of fees paid in the last 12 months.

10. Dispute Resolution

10.1 Internal mediation

Disputes between users are handled first through our dispute resolution process, which includes automated mediation and review by the AgroBridge team.

10.2 Arbitration

Unresolved disputes will be submitted to binding arbitration in Mexico City, Mexico, under the rules of the Centro de Arbitraje de México (CAM).

10.3 Governing law

These terms are governed by the laws of the United Mexican States.

11. Termination

We may suspend or terminate your access to AgroBridge at any time if you:

• Breach these terms
• Provide false information
• Take part in fraudulent activity
• Fail to meet verification requirements

Outstanding financial obligations survive termination.

12. Changes

We reserve the right to change these terms at any time. Material changes will be notified at least 30 days in advance, by email and by a notice on the platform.

Continuing to use AgroBridge after a change means you accept the new terms.
